We are looking for a bright, proactive, business-minded and motivated attorney to join our legal team in New York.  Someone who will be a trusted business partner for various corporate groups, providing creative, collaborative, solution-oriented advice and general commercial counsel. A person who would be energized by the chance to work on a wide variety of matters including cutting edge topics.  For this new role, the focus is on commercial agreements, licensing, corporate transactions, and compliance.

 

This experienced, detail-oriented counsel will build successful working relationships and work closely with other members of the legal and business teams,. Will be an excellent communicator and a driven attorney with proven success at execution. Joining the team, we hope to find someone dedicated who can think strategically to solve problems and build stakeholder consensus with various global and domestic colleagues across departments.

 

This hybrid position should be available, as needed for in-office meetings and other responsibilities. We will consider candidates who can work from a commutable distance to our offices at 1745 Broadway, which includes the tri-state area (NJ, CT, & PA).

The Role:

  • Assisting with the legal and intellectual property aspects of the company's M&A transactions, including assisting with diligence, negotiating transaction documentation and coordinating with external legal counsel
  • Drafting, reviewing and negotiating a wide range of commercial contracts in support of the company's corporate groups, including sales, technology, licensing, digital platforms, production, vendor, advertising, non-disclosure, merchandising and distribution and partnership deals
  • Supporting the delivery of advice to the commercial teams on a variety of legal issues and compliance matters
  • Providing strategic analysis of legal and brand risks and setting policies and solutions to achieve business objectives efficiently
  • Drafting and updating consumer and other third-party-facing terms and guidelines
  • Working with members of the Legal Team to develop and improve forms, processes, and procedures, as well as assisting with tools and strategies to help the business scale

 

The Essentials:

  • JD degree. 
  • Member, in good standing, of at least one U.S. State Bar
  • 2-4 years experience at a law firm or in-house legal department
  • Proven experience representing corporations in commercial transactions and general business law; experience with ad tech and SaaS is preferred
  • Excellent verbal and written skills and the ability to communicate effectively at all levels
  • Results driven; experience leading strategic projects and advising on business practices is preferred
  • Strong team player and ability to work cross-functionally in a complex organizational structure
  • Sound risk assessment capabilities in rapidly evolving regulated areas
  • Demonstrated ability to learn business requirements quickly, analyze legal and commercial risks, and propose creative, business-oriented solutions
  • Bilingual speaking and writing skills (English/Spanish) are a big plus for consideration but not a requirement of the role

 

The expected base salary range for this position is $138,000 - $160,000. Salary offers are based on a wide range of factors including but not limited to relevant skills, training, experience, and education.  All positions are currently eligible for annual profit award or bonus, subject to Company results.
