The Senior Corporate Counsel is a broad‑based commercial legal role responsible for supporting the company across a wide range of legal matters, with a primary emphasis on commercial transactions and business support. This role represents the company in legal and business negotiations with prospects, clients, vendors, independent contractors, and partners, and provides practical legal guidance across the organization. While this position includes responsibility for advising on privacy, data protection, and data governance matters, it is not a dedicated privacy counsel role. The Senior Corporate Counsel is expected to contribute across contractual, operational, and strategic legal issues affecting the business.

 

WHAT YOU’LL BE DOING:

  • Contract Management and Negotiations: Oversee and manage the full lifecycle of contract negotiations, including SaaS agreements, MSAs, vendor contracts, SLAs, NDAs, software licenses, DPAs, SOWs, ordering documents, and government contracts. Ensure agreements align with company policies, legal standards, and regulatory requirements while mitigating legal and business risks. This includes reviewing and negotiating privacy, data protection, and information security terms and advising on related data risk allocation. Draft and negotiate high‑quality documents, interpret contract requirements, and finalize documentation for contract closure, including obtaining necessary stakeholder approvals. 
  • Privacy & Data Governance: Provide legal support on privacy, data protection, and data governance matters in connection with commercial transactions, product development, and business operations, while continuing to support the Legal team on a broad range of other corporate, commercial, and operational legal matters. 
  • Process Improvements: Develop, implement, and revise legal strategies, standardized legal processes and contract templates to drive efficiencies while supporting the company’s goals and objectives 
  • Legal Strategy, Advice: & Business Judgment: Provide legal advice and counsel to internal stakeholders on a wide range of corporate, commercial, and operational matters. Develop a strong understanding of the company’s business, products, and objectives in order to deliver pragmatic, risk‑based legal guidance and recommend appropriate courses of action aligned with business priorities. This includes advising on privacy and data governance matters as part of a broader generalist legal practice , including advising on intellectual property, employment, compliance, and other corporate and commercial legal matters. Conduct legal research and analysis to deliver accurate and timely advice on a wide range of legal issues, including but not limited to privacy matters, consistent with the responsibilities of a senior generalist corporate counsel role. 
  • Cross-Departmental Collaboration: Work closely with Sales, IT, Finance, HR, and Product teams on matters including compliance, privacy, data protection, data governance, product development, and employment matters. Provide training and legal awareness for internal stakeholders as directed.
  • Legal Representation: Manage outside counsel as directed and represent the company in resolving disputes in a cost-effective and in a timely manner. Draft correspondence to legal counsel, customers, and vendors, as needed. (2%)
  • Extended Hours Support: Last day of month extended hours support in rotation with other legal personnel to close time-sensitive sales deals. 
  • Other duties as assigned. 

 

YOU’VE GOT WHAT IT TAKES IF YOU HAVE:

  • 8+ years of contract or transactional law experience in a corporate environment
  • Bachelor’s Degree
  • Juris Doctor and active North Carolina bar license
  • Experience with software and SaaS commercial transactions
  • Experience with government contracting and public-sector procurement processes
  • Experience advising on data privacy, data protection, or data governance issues as part of a broader commercial or corporate legal practice (strongly preferred, but not a dedicated privacy role)
  • Managing commercial deals and cross-functional projects
  • Proven ability to work in a fast-paced, high-growth environment with minimal supervision

IN OFFICE REQUIREMENT:

Relias values collaboration and wants to ensure that our team members have opportunities to work with their teams regularly for professional development opportunities. Our flexible hybrid work environment requires that you live in the state of North Carolina, within a commutable distance to our office (~1-hour commute). You would be expected to work in our Morrisville, NC Headquarters approximately 30/40 days/quarter.
