Purpose of the Role

Reporting to the Company Secretary (the "CS") the role is responsible for assisting the CS with ensuring good corporate governance is undertaken throughout Fremantle companies and maintaining corporate administration and statutory compliance. Working closely with the CS, the role will work with all operating businesses in Fremantle and the group shareholder RTL Group SA.


  • Supervisory Board: assist the CS as required with circulation of agendas, papers and conclusion of follow up actions
  • Investment Committee: assist the CS as required with circulation of agendas, papers and conclusion of follow up actions
  • Operational Audit, Risk and Compliance Committee (Chaired by the General Counsel): assist the CS as required with drafting and circulating agendas and papers, attending meetings and conclusion of follow up actions
  • Fremantle Companies: assist the CS with ensuring all Fremantle companies minutes and company documentation reflect the business of meetings or have appropriate authorisation, respectively and that follow up actions are concluded

Corporate Administration

  • Maintaining the Visual Scope (in house database) and Blueprint corporate databases for UK and overseas companies
  • Monitor statutory/corporate filings for Minority Interest companies and work with CS to assist or advise M&A/Corporate Development Teams with corporate administration as may be required
  • Work with the finance, business and legal teams (including the PA to the GC and also the M&A Lawyer) to ensure that administrative tasks and processes are as efficient and effective as possible
  • Maintaining all UK company statutory records both in respect of online and hard copy records
  • Arranging board meetings and shareholder meeting as required, including liaising with EAs and relevant attendees as may be necessary
  • Working with the EAs of the GC/CFO and COO to ensure that the corporate calendar is kept up to date and current
  • Working with CS to keep finance, business and legal teams updated in respect of any changes in Company Law requirements to ensure they are kept up to date on corporate matters
  • Ensure that all powers of attorney, charges, statutory deeds are executed in accordance with the relevant legal jurisdiction and internal policies and procedures
  • Be the primary point of contact for information on the Fremantle’s corporate structure including production of structure charts from Visual Scope or Blueprint
  • Assisting CS with providing support to legal and finance teams on M&A transactions
  • Assisting CS in respect of insurance matters with Fremantle’s shareholder and its insurance broker

Statutory Compliance/GDPR Process Overview

  • Ensure that all statutory filings in the UK are completed in a timely and accurate manner and monitor global filings across the Fremantle companies
  • Assist CS with work for the finance and tax departments to effect corporate restructurings


  • Assist CS with maintenance of a global database of policies, requests for compliance approval and procedures in liaison with other relevant colleagues e.g. in HR, finance, IT and operations
  • Assist with supporting the Chief Privacy Officer, as necessary, including handling subject access requests, communication with the ICO and helping to maintain the GDPR framework globally
  • Work with HR and the relevant Heads of Legal and other key stakeholders in the business to support the determination and maintenance of training programmes for the key policies and procedures and the monitoring of ongoing compliance and risk reporting
  • Implement global database of reminders to business eg annual report & accounts, compliance statements etc


  • General Secretariat administrative duties including filing, archiving and scheduling meetings
  • Study for qualification as a full member of the Chartered Institute of Company Secretaries
  • Any other duties as required in the ongoing development of the role


  • Work with CS to champion and promote the business benefit of good corporate governance and corporate responsibility in a multi-functional area in a highly matrixed organisation
  • Alongside CS seek to ensure that knowledge of and exposure to best practice in other companies, other sectors and in other locations contributes to the promotion of high standards at Fremantle
  • Work with CS to build and maintain strong relationships with our shareholder, RTL Group (and its principal shareholder Bertelsmann AG) in areas of responsibility and co-ordinate activity accordingly

Education and Professional Experience

  • Foundation Level ACIS part-qualified Company Secretary, legal or business studies graduate, or an individual with administrative experience now wishing to study towards full qualification as a Chartered Secretary
  • Office administrative experience desirable but not essential
  • Experience within an international corporate group desirable but not essential

Knowledge and Skills

  • A level of interpersonal skills sufficient to enable the post holder to establish credibility and effective working relationships with internal and external contacts
  • Time-management and self-scheduling skills are important as is the ability to work with various teams on a formal or informal basis
  • The ability to remain confident and assured in difficult circumstances, and to possess the resilience and stamina to sustain performance, particularly when under pressure
  • The commitment to study for full professional qualification as a Chartered Company Secretary, if required
